1. Copyright Ownership

All content appearing on adspantry.com, including but not limited to text, graphics, illustrations, designs, ad copy, icons, images, audio clips, video clips, data compilations, software, and the overall look and feel of the website and platform, is the property of Ads Pantry LLC and is protected by United States and international copyright laws.

No portion of this website or platform may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without the express prior written consent of Ads Pantry LLC.

2. Ad Creative Ownership

All advertising illustrations, designs, written copy, visual assets, and related creative materials available in the Ads Pantry library (collectively, "Ad Creative") are original works of authorship created by or on behalf of Ads Pantry LLC. Each illustration, including the cartoon and comic-style humorous artwork created for specific trades and industries (plumbing, electrical, moving, HVAC, landscaping, and others), constitutes an original work of visual art under Title 17 of the United States Code.

Ads Pantry LLC is the sole and exclusive owner of all copyright, moral rights, and other intellectual property rights in and to the Ad Creative. This ownership extends to all derivative works, adaptations, and compilations thereof. No transfer of copyright ownership occurs at any point during or after a subscriber's use of the platform.

3. License to Subscribers

Subject to the terms and conditions of the Ads Pantry Terms of Service and an active, paid subscription in good standing, Ads Pantry LLC grants each subscriber a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Select Ad Creative from the Ads Pantry library through the platform;
• Have the subscriber's logo watermarked onto selected Ad Creative by the Ads Pantry system; and
• Display the resulting branded advertisements solely through the Ads Pantry platform on authorized advertising channels, including Meta (Facebook and Instagram) and Google advertising networks.

This license is granted solely for the purpose of running digital advertising campaigns through the Ads Pantry platform and does not convey any ownership interest in the Ad Creative. The license is personal to the subscriber and applies only to the specific ZIP code territory and advertising campaigns managed through the subscriber's Ads Pantry account.

License Termination

This license automatically and immediately terminates upon: (a) cancellation of the subscriber's subscription, whether voluntary or involuntary; (b) non-payment or lapse of subscription fees; (c) termination of the subscriber's account for any reason; or (d) breach of these copyright terms or the Terms of Service. Upon termination, all rights granted hereunder revert exclusively to Ads Pantry LLC, and the subscriber must immediately cease all use of Ad Creative.

4. Restrictions on Use

Subscribers and all users of the platform expressly agree that they shall NOT, under any circumstances:

• Download, copy, save, screenshot, screen-record, or otherwise reproduce any Ad Creative from the Ads Pantry platform;
• Redistribute, share, publish, or transmit any Ad Creative to any third party by any means;
• Use any Ad Creative outside of the Ads Pantry platform, including on personal websites, social media accounts, print materials, or any other medium;
• Modify, alter, edit, crop, recolor, or create derivative works based on any Ad Creative;
• Claim authorship, ownership, or any proprietary interest in any Ad Creative;
• Resell, sublicense, lease, lend, or otherwise commercially exploit any Ad Creative;
• Use any Ad Creative after cancellation or termination of a subscription;
• Remove, obscure, or alter any copyright notice, watermark, or proprietary legend appearing on or within any Ad Creative; or
• Use automated tools, scripts, bots, or any other technological means to extract, scrape, or harvest Ad Creative from the platform.

Any unauthorized use of Ad Creative constitutes copyright infringement and may subject the violator to civil and criminal penalties under applicable law, including statutory damages of up to $150,000 per infringed work under 17 U.S.C. § 504(c).

5. User-Provided Content

Users retain full ownership of their logos, brand assets, trademarks, trade names, and business information ("User Content") uploaded to the Ads Pantry platform. Ads Pantry does not claim any ownership interest in User Content.

By uploading User Content to the platform, users grant Ads Pantry LLC a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, and display such User Content solely for the purpose of:

• Incorporating the user's logo and brand elements into selected Ad Creative through the watermarking and branding process;
• Delivering and distributing branded advertisements through authorized advertising channels on the user's behalf; and
• Operating, maintaining, and improving the Ads Pantry platform and services.

This license survives only for as long as reasonably necessary to fulfill the above purposes and to comply with applicable legal obligations. Users represent and warrant that they own or have sufficient rights to all User Content uploaded to the platform and that such content does not infringe the intellectual property rights of any third party.

6. Trademarks

"Ads Pantry," the Ads Pantry logo, "The Pantry Chef," "Now You're Cooking," and all related names, logos, product and service names, designs, and slogans are trademarks or service marks of Ads Pantry LLC. These marks may not be used without the prior written permission of Ads Pantry LLC. Any use of these marks without authorization, including in connection with any product or service that is not affiliated with Ads Pantry, in any manner that is likely to cause confusion, or in any manner that disparages or discredits Ads Pantry LLC, is strictly prohibited.

All other trademarks, registered trademarks, product names, and company names or logos mentioned on this website or platform are the property of their respective owners. References to third-party marks, including but not limited to Meta, Facebook, Instagram, Google, Google Ads, and YouTube, are made solely for identification and informational purposes and do not imply any endorsement, sponsorship, or affiliation.

7. DMCA Takedown Procedure

Ads Pantry LLC respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), 17 U.S.C. § 512, Ads Pantry will respond promptly to claims of copyright infringement committed using the platform or website.

Filing a DMCA Notice

If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement, please provide Ads Pantry's designated copyright agent with the following information in writing:

1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
2. Identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered by a single notification, a representative list of such works;
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Ads Pantry to locate the material;
4. Contact information for the complaining party, including name, address, telephone number, and, if available, an email address;
5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Upon receipt of a valid DMCA notice, Ads Pantry will act expeditiously to remove or disable access to the allegedly infringing material. Ads Pantry may also, in appropriate circumstances and at its sole discretion, terminate the accounts of users who are repeat infringers.

Counter-Notification

If you believe that material you posted was removed or disabled by mistake or misidentification, you may file a counter-notification with our designated copyright agent. The counter-notification must include: (a) your physical or electronic signature; (b) identification of the material that was removed and the location at which it appeared before removal; (c) a statement under penalty of perjury that you have a good faith belief that the material was removed as a result of mistake or misidentification; and (d) your name, address, telephone number, and a statement consenting to the jurisdiction of the federal district court for the judicial district in which your address is located.

8. Fair Use

Ads Pantry acknowledges the doctrine of fair use as set forth in 17 U.S.C. § 107. Screenshots of the Ads Pantry website or platform may be used for purposes of commentary, criticism, review, news reporting, or editorial coverage, provided that:

• Such use is limited to what is reasonably necessary for the stated purpose;
• Proper attribution is given to Ads Pantry LLC as the source (e.g., "Image courtesy of Ads Pantry, adspantry.com");
• The use does not imply endorsement, sponsorship, or affiliation with Ads Pantry; and
• The use does not involve the reproduction of Ad Creative from the library for any commercial purpose.

This acknowledgment does not constitute a waiver of any rights and does not expand or limit the scope of fair use under applicable law.
