1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ads Pantry ("Ads Pantry," "we," "us," or "our"). By accessing or using the Ads Pantry website, platform, or any related services (collectively, the "Service"), or by creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" shall refer to that entity.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
2. Description of Service
Ads Pantry is a digital advertising platform that provides pre-built advertising campaigns across major platforms including Facebook, Instagram, and Google to local home service businesses, including but not limited to plumbers, electricians, movers, HVAC technicians, landscapers, and similar trades.
The core features of the Service include:
- Pre-built, professionally designed ad campaigns tailored to specific home service trades.
- Territory-based exclusivity, whereby only one business per trade category may hold advertising rights within a given United States ZIP code at any time.
- Campaign deployment and management across supported advertising platforms on behalf of the User.
- Lead delivery via email notification.
Ads Pantry does not guarantee any specific volume of leads, conversion rates, or return on ad spend. Campaign results vary based on factors including but not limited to geographic market conditions, competition, ad spend levels, seasonality, and consumer behavior.
3. Account Registration
To use certain features of the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information about yourself and your business, including your legal business name, trade category, service area, and contact details.
- Maintain and promptly update your account information to keep it accurate, current, and complete.
- Maintain the security and confidentiality of your login credentials and not share your account access with any third party.
- Accept full responsibility for all activities that occur under your account, whether or not authorized by you.
- Notify Ads Pantry immediately at support@adspantry.com if you become aware of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate your account if any information provided during or after registration is found to be inaccurate, misleading, or incomplete, or if we reasonably believe your account has been compromised.
4. Territory Rights & Exclusivity
4.1 ZIP Code Exclusivity
Ads Pantry offers territorial exclusivity on a first-come, first-served basis. When you claim a ZIP code for your trade category, no other business in the same trade category may hold that ZIP code while your subscription for that territory remains active and in good standing.
4.2 Duration of Exclusivity
Your exclusive rights to a ZIP code territory exist only for so long as your subscription covering that territory remains active and your account is current on all payments. Exclusivity is not permanent and is contingent upon continued, uninterrupted subscription.
4.3 Release of Territory
Upon cancellation of your subscription, non-payment, or termination of your account for any reason, all ZIP code territories associated with your account are released immediately and made available to other businesses. Ads Pantry is under no obligation to hold or reserve any territory on your behalf after release.
4.4 No Performance Guarantees
Territorial exclusivity means that no other Ads Pantry customer in your trade will advertise through the Service in your claimed ZIP code. It does not guarantee any minimum volume of leads, impressions, clicks, or conversions. Market conditions, consumer demand, and other external factors outside our control affect campaign performance.
4.5 Non-Transferability
Territory rights are non-transferable. You may not sell, assign, sublicense, lease, or otherwise transfer your ZIP code exclusivity to any third party. Any attempt to do so is void and may result in immediate termination of your account.
5. Billing & Payment
5.1 Subscription Fees
The Service is offered on a monthly subscription basis. Subscription fees consist of a monthly platform fee (ranging from $0 to $199 per month depending on your selected tier) plus per-ZIP territory fees (ranging from $25 to $50 per ZIP code per month). Volume discounts may apply when bundling multiple ZIP codes; current pricing and discount structures are published on the Ads Pantry website and may be updated from time to time.
5.2 Billing Cycle
Subscription fees are billed in advance on a monthly basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing, you authorize Ads Pantry to charge your designated payment method on a recurring basis.
5.3 Ad Spend
In addition to subscription fees, you are responsible for ad spend budget, which is the amount allocated to the underlying advertising platforms (e.g., Meta, Google) for the delivery of your campaigns. Ad spend is separate from subscription fees and is billed based on actual usage and platform charges. Ads Pantry may require a minimum ad spend commitment depending on the campaigns and territories selected.
5.4 Pricing Changes
Ads Pantry reserves the right to modify its pricing, including platform fees, territory fees, and discount structures, at any time. We will provide at least thirty (30) days' advance written notice of any pricing changes via email or through the platform. Your continued use of the Service after the effective date of a pricing change constitutes acceptance of the new pricing. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
5.5 Payment Methods & Failures
You must provide a valid payment method and keep it current. If a payment fails, we may retry the charge, suspend your account, and release your ZIP code territories. You are responsible for any fees or charges imposed by your payment provider in connection with your use of the Service.
6. Cancellation & Refunds
6.1 Cancellation
You may cancel your subscription at any time through your account dashboard or by contacting us at support@adspantry.com. There are no long-term contracts or cancellation penalties. Cancellation takes effect at the end of the request, and your ZIP code territories are released immediately upon cancellation.
6.2 No Partial Refunds
Subscription fees are non-refundable. If you cancel partway through a billing cycle, you will not receive a prorated refund for the unused portion of that cycle. You will continue to have access to the Service through the end of your current paid billing period, but your territory exclusivity is released immediately upon cancellation.
6.3 Ad Spend Refunds
Ad spend that has already been used to deliver impressions, clicks, or other campaign activity on third-party advertising platforms is non-refundable. Any unused, undelivered ad spend balance at the time of cancellation may be refunded at Ads Pantry's sole discretion, minus any applicable processing or platform fees.
6.4 Territory Release
Upon cancellation, all ZIP code territories associated with your account are released immediately and become available to other users. Ads Pantry has no obligation to notify you before reassigning your former territories. If you wish to reclaim a previously held ZIP code, you must subscribe again and claim it on a first-come, first-served basis, subject to availability.
7. Ad Content & Creative
7.1 Ownership of Ad Creative
All ad templates, creative assets, copy, designs, and campaign structures provided through the Service are and remain the exclusive property of Ads Pantry. You are granted a limited, non-exclusive, non-transferable, revocable license to use these materials solely in connection with your active Ads Pantry subscription. Upon termination or cancellation, all rights to use Ads Pantry creative assets cease immediately.
7.2 User Brand License
By using the Service, you grant Ads Pantry a non-exclusive, royalty-free, worldwide license to use your business name, logo, trademarks, and brand materials solely for the purpose of creating and deploying advertising campaigns on your behalf through the Service. This license terminates upon cancellation of your subscription, except that Ads Pantry may retain copies for archival and record-keeping purposes.
7.3 Business Licensing
You represent and warrant that your business holds all licenses, permits, and certifications required by applicable federal, state, and local laws to operate in the trade category and geographic areas for which you use the Service. Ads Pantry is not responsible for verifying your business credentials and shall have no liability arising from your failure to maintain proper licensure.
7.4 Content Discretion
Ads Pantry reserves the right, in its sole discretion, to review, reject, modify, or remove any ad content or campaign at any time and for any reason, including but not limited to compliance with advertising platform policies, applicable law, or our internal standards. We are not obligated to provide prior notice before exercising this right.
8. Lead Delivery
8.1 Delivery Method
Leads generated through your campaigns are delivered to you via email notification to the address associated with your account. It is your responsibility to ensure that your email address is accurate and that you monitor it regularly for incoming leads.
8.2 Lead Quality
Leads are delivered on an "as-is" basis. Ads Pantry does not guarantee the quality, accuracy, validity, or conversion potential of any lead. We do not guarantee that leads will result in booked jobs, sales, or revenue. Lead volume and quality are influenced by market conditions, ad spend levels, competition, seasonality, and other factors outside our control.
8.3 User Responsibilities
You are solely responsible for responding to and following up on leads in a timely and professional manner. You agree to handle all leads in compliance with all applicable laws and regulations, including but not limited to:
- The Telephone Consumer Protection Act (TCPA) and its implementing regulations.
- The CAN-SPAM Act governing commercial email communications.
- State and local consumer protection laws and do-not-call regulations.
- Any applicable industry-specific regulations governing solicitation and marketing in your trade.
Ads Pantry shall have no liability for any claims, penalties, or damages arising from your communication with or solicitation of leads.
9. Prohibited Uses
You agree not to use the Service to:
- Provide false, misleading, or inaccurate business information, including misrepresenting your trade category, service area, licensing status, or business identity.
- Claim ZIP code territories for the purpose of resale, sublicensing, or blocking competitors from accessing the Service, rather than for legitimate advertising of your own business.
- Register multiple accounts to circumvent territory exclusivity rules or to claim territories beyond what a single account would permit.
- Interfere with, disrupt, or negatively affect the Service, its servers, or any other user's experience, including through denial-of-service attacks, data scraping, or automated access.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service or any of its components.
- Use the Service for any unlawful purpose, or in violation of any applicable federal, state, or local law or regulation.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
- Harvest, collect, or store personal data of other users or leads except as necessary to respond to legitimate inquiries generated through your campaigns.
Violation of any of the above may result in immediate suspension or termination of your account, forfeiture of all territory rights, and forfeiture of any fees paid, without refund.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADS PANTRY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADS PANTRY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADS PANTRY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO ADS PANTRY DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ADS PANTRY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Indemnification
You agree to indemnify, defend, and hold harmless Ads Pantry, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
- Your use of the Service or any activity under your account.
- Your business operations, including the services you provide to customers obtained through the Service.
- Your violation of these Terms or any applicable law or regulation.
- Your infringement or misappropriation of any third-party intellectual property, privacy, or other rights.
- Any dispute between you and a customer, lead, or other third party.
- Any claim that your business lacks required licenses, permits, or certifications.
This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.
12. Modifications to Terms
Ads Pantry reserves the right to modify, update, or replace these Terms at any time. When we make material changes, we will notify you by email to the address associated with your account and/or by posting a prominent notice on the Service, along with the updated effective date at the top of this page.
Material changes will take effect no sooner than thirty (30) days after notice is provided. Non-material changes, such as clarifications or minor corrections, may take effect immediately upon posting.
Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the changes take effect.
13. Governing Law & Dispute Resolution
These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Arizona, United States of America, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in the State of Arizona, and you consent to the personal jurisdiction of such courts. You waive any objection to venue in such courts.
Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at support@adspantry.com. The parties shall use good-faith efforts to resolve the dispute within thirty (30) days of initial contact.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Ads Pantry regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
14.3 Waiver
The failure of Ads Pantry to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Ads Pantry to be effective.
14.4 Assignment
You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. Ads Pantry may assign these Terms without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their permitted successors and assigns.
